Terms & Conditions of Service

1. Scope

These terms govern all video production services provided by Mist LLC ("the Company") to business clients ("the Client"). By accepting a quote issued by the Company, the Client accepts these terms in full, unless otherwise agreed in writing.

2. Services

The Company provides audiovisual production services, including but not limited to: raw product footage, scripted short-form product videos, product benchmark videos, and localization of such content (translation, subtitling, voice adaptation).

3. Quotes and orders

All projects are quoted individually. Quotes are valid for thirty (30) days from their date of issue. A project is confirmed once the Client accepts the quote in writing (email being sufficient).

4. Payment

Unless otherwise stated on the quote, invoices are payable within thirty (30) days of the invoice date. The Company may require a deposit before production begins. Late payments may incur interest at the maximum rate permitted by applicable law.

5. Production and revisions

Deliverables, formats, deadlines and the number of revision rounds are defined in the quote. Additional revisions or changes of scope requested after confirmation may be quoted separately.

6. Intellectual property

Upon full payment, the Client is granted the rights of use defined in the quote for the delivered content. The Company retains the right to reference the work produced (excerpts, stills, client name) in its own portfolio and commercial materials, unless the Client requests otherwise in writing.

7. Client materials

The Client warrants that any materials, products, trademarks or content it provides for production purposes do not infringe third-party rights, and authorizes their use by the Company for the purposes of the project.

8. Liability

The Company's total liability for any claim arising out of the services is limited to the amount paid by the Client for the project concerned. The Company is not liable for indirect damages, including loss of profits or loss of audience, nor for the performance of content on third-party platforms.

9. Confidentiality

Each party keeps confidential any non-public information received from the other party in the course of the project, including unreleased products and launch dates.

10. Governing law

These terms are governed by the laws of the State of Wyoming, United States. Any dispute that cannot be resolved amicably shall be submitted to the competent courts of the State of Wyoming.
